Last updated: 12th August 2025
1) Who we are & acceptance
These Terms govern your use of synqglobal.com and any engagement with SYNQ Global FZ‑LLC (“SYNQ”). By using our site or engaging us, you agree to these Terms.
2) Services (what we do)
We provide B2B services including:
- Strategy & Audits (marketing, media, data)
- Media Planning & Buying (paid search, paid social, display, programmatic)
- Performance Campaigns (CPC/CPA/CPM models)
- Analytics, Reports & Dashboards (may include subscription access)
- Digital Products (playbooks, templates, courses; may be e‑commerce)
We may update or improve services without prior notice (no material reduction to paid commitments mid‑term).
3) Client responsibilities
Provide accurate information, timely feedback, approvals, and required assets/access (e.g., ad accounts, pixels). Delays or missing inputs may extend timelines and/or incur extra fees.
4) Scope boundaries & changes
Our work is limited to the proposal/SOW. Out‑of‑scope requests (additional campaigns, platforms, creative rounds, custom integrations) may require a change order and fees.
5) Fees, payments, subscriptions
Fees and billing currency (AED/SAR/USD/CAD) are defined in the proposal or invoice. Unless agreed otherwise, fees are due in advance.
If a subscription is purchased (e.g., dashboard/reporting access), it auto‑renews until cancelled in writing with [X] days’ notice before renewal. Late payments may pause services.
6) Intellectual property
All strategies, plans, creatives, code, data analyses, and deliverables (“Work Product”) remain SYNQ’s property until paid in full. After payment, you receive a non‑exclusive, non‑transferable license for internal business use. Our underlying methodologies, templates, and know‑how remain ours.
7) No guarantees / performance disclaimer
We use professional skill and best practices, but do not guarantee specific results (e.g., revenue, lead volume, CPC/CPA, rankings, or ROI) due to factors outside our control (market conditions, platform policies, budgets, conversion assets, seasonality, etc.).
8) Third‑party platforms & accounts
Campaigns may run on third‑party platforms (e.g., Google, Meta, LinkedIn). You agree to comply with their terms. We are not liable for platform outages, policy changes, account suspensions, or data discrepancies.
9) Confidentiality
Each party will keep the other’s non‑public business information confidential and use it only for the engagement.
10) Prohibited uses
You may not use our site/services to: violate laws (UAE/KSA/Canada/US), infringe IP, distribute malware, scrape or attempt to breach security, promote prohibited content in applicable jurisdictions, or misrepresent identity/authority.
11) Limitation of liability
To the maximum extent permitted by law, SYNQ is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/opportunities.
Cap: SYNQ’s total liability is limited to the lesser of (i) USD 5,000 or (ii) fees paid to SYNQ in the 3 months preceding the claim.
12) Indemnity
You agree to indemnify and hold SYNQ harmless against claims arising from your misuse of services, unlawful advertising content, or breach of these Terms.
13) Third‑party links
We’re not responsible for content, security, or policies of third‑party websites we link to.
14) Termination
Either party may terminate for material breach (with reasonable cure period) or for convenience per the proposal/SOW. Upon termination, amounts due remain payable.
15) Governing law & forum (UAE‑only)
These Terms are governed by the laws of the United Arab Emirates. Exclusive jurisdiction: courts of Dubai, UAE. Parties waive objections to venue/forum outside Dubai, UAE.
16) Changes
We may update these Terms; we’ll post the new date above. Continued use after changes = acceptance.
